This Agreement outlines the terms under which a Partner may license the FitTrack platform technology to operate under their own brand ("White-Label Solution").

1. License Grant

FitTrack grants Partner a non-exclusive, non-transferable license to use, market, and distribute the White-Label Solution to its end users, subject to the branding guidelines and restrictions set forth herein.

2. Branding & Customization

Partner may customize the look and feel (logos, colors) of the application as permitted by the platform's configuration capabilities. "Powered by FitTrack" attribution may be required unless a specific waiver is purchased.

3. Support & Maintenance

FitTrack remains responsible for the hosting, maintenance, and core updates of the software infrastructure. Partner is responsible for Tier 1 customer support for its end users unless a managed support package is selected.

4. Intellectual Property

FitTrack retains all ownership rights to the underlying software, code, and algorithms. Partner retains ownership of their specific brand assets and customer data generated through their instance of the platform.

Custom Development

Additional features or custom integrations requested by Partner outside the standard roadmap will be scoped and billed separately under a Professional Services Statement of Work (SOW).
